Terms of Service

These Terms govern your access to and use of SHIRO Terminal OS ("SHIRO", the "Service"), operated by Shiro Labs ("Shiro Labs", "we", "us"). By creating an account, connecting a wallet, or otherwise using the Service, you agree to these Terms.

1. The Service

SHIRO is a non-custodial trading and intelligence terminal for the Solana blockchain. We provide tooling to view market data, track wallets, build alerts, route signed transactions through public and private RPC providers, and (via the "Trendline" surface) browse and interact with prediction markets on real-world trends. We do not custody your funds, hold your private keys, or execute trades on your behalf without an explicit signed transaction from your wallet.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and legally permitted to trade digital assets in your jurisdiction. SHIRO is not available to residents of any country, region, or person subject to sanctions enforced by the United States, the United Kingdom, the European Union, or the United Nations. You represent that you are not such a person.

3. No Investment Advice

Nothing on SHIRO is investment, legal, tax, or financial advice. Signals, scores, narratives, and AI-generated summaries are informational only and do not constitute a recommendation. You are solely responsible for your trading decisions.

4. Wallet Connection & Signed Transactions

When you initiate a live trade, your wallet (Phantom, Solflare, or another supported provider) signs the transaction client-side. We never see, store, or transmit your private keys. Once a transaction is signed and broadcast, it is final and irreversible — we cannot recall, refund, or reverse it.

5. Fees

SHIRO charges a platform fee on each live trade routed through the Service. The current fee schedule is published in-app and at shiroterminal.com. Subscription tiers (Free, Pro, Elite, Lifetime) may modify the applicable fee. Solana network fees, Jito tips, and third-party DEX/aggregator fees are paid by you and are not retained by Shiro Labs. Trendline is paper-mode at launch and carries no platform fee; on-chain Trendline trading, when enabled, will be tier-gated and any applicable fee will be disclosed in-app before you sign.

6. Acceptable Use

You agree not to use SHIRO to: (a) violate any applicable law; (b) abuse, manipulate, or interfere with the Service or its providers (Helius, Birdeye, Jito, Jupiter, others); (c) reverse engineer or scrape at volumes beyond stated rate limits; (d) launder funds or facilitate sanctioned activity; (e) impersonate another user. We may suspend or terminate access for any violation.

7. Beta & Availability

SHIRO is currently in private beta. Features may change, degrade, or be removed without notice. Live execution rails depend on third-party RPCs and DEX aggregators that may experience downtime. The Service is provided "AS IS" without warranty.

8. Trendline Prediction Markets

Trendline is a prediction-market surface within SHIRO that lets you take positions on the future state of public, real-world trend data (e.g. video views, social engagement, release events). The following terms apply specifically to Trendline and are in addition to the rest of these Terms.

• Paper-mode at launch. Trendline currently operates in paper mode only. Positions, balances, and profit/ loss are simulated against a synthetic per-user paper account; no real funds are at risk and no payout is owed by Shiro Labs. Resetting your paper account or losing simulated balance has no monetary consequence.
• On-chain mode (future). A future on-chain version of Trendline is planned and will be governed by additional terms presented at that time. On-chain Trendline, when launched, may be unavailable in your jurisdiction, may be tier-gated, and will require a separate, explicit acknowledgment before you can place a real-money position.
• Not a regulated offering. Trendline is provided as an information and skill-based forecasting tool. It is not offered as a security, derivative, swap, futures contract, insurance product, or game of chance. You may not use Trendline in any jurisdiction where prediction markets, event contracts, or skill-based forecasting platforms are prohibited or restricted, and you represent that you are not such a person.
• Resolution is final. Markets are resolved by a two-of-N admin multisig drawn from Shiro Labs operators, after an oracle suggestion (where applicable) and a 24-hour dispute window. Each resolution records an outcome (YES, NO, or INVALID), an evidence URI, an evidence hash, and the signing admins. Once a resolution is co-signed and finalized, settlement is automatic and irreversible. We may, in narrow circumstances (e.g. an oracle source disappearing, a market with ambiguous criteria, fraudulent activity), resolve a market as INVALID and refund the cost basis to participants — this is the only unwind we offer.
• User-proposed markets. Eligible users may propose new markets. Submitting a proposal grants Shiro Labs a non-exclusive, worldwide, royalty-free license to display, modify, approve, reject, or remove the proposal and any resulting market. We may reject any proposal at our sole discretion. You must not propose markets that target a specific person's injury, death, illness, or private life; that depend on private or non-public information; or that would be unlawful in your jurisdiction or ours.
• No advice. Probabilities, leaderboards, oracle suggestions, and AI-generated explanations on Trendline are informational only. Nothing on Trendline is investment, legal, tax, gambling, or financial advice.

9. Limitation of Liability

To the maximum extent permitted by law, Shiro Labs is not liable for: (a) trading losses; (b) MEV, slippage, or failed transactions; (c) third-party RPC, DEX, or wallet failures; (d) data inaccuracies from upstream providers; (e) any indirect, incidental, or consequential damages. Our aggregate liability to you for any claim arising from the Service is capped at the greater of (i) the fees you paid Shiro Labs in the 90 days preceding the claim or (ii) US$100.

10. Indemnification

You agree to indemnify Shiro Labs against claims arising from your use of the Service, your trading or Trendline activity, your submission of market proposals, or your violation of these Terms.

11. Intellectual Property

SHIRO, the SHIRO wordmark and logo, and the Service's code, design, and content are owned by Shiro Labs. You receive a limited, non-exclusive, non-transferable license to use the Service for your personal trading. You may not copy, redistribute, or create derivative works of any part of the Service.

12. Termination

We may terminate or suspend your access at any time for any reason. You may stop using the Service at any time by disconnecting your wallet and discontinuing access. Sections 4, 5, 8, 9, 10, 11, and this section survive termination.

13. Changes

We may update these Terms from time to time. Material changes will be posted in-app and at this URL with an updated date. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws applicable at Shiro Labs' place of incorporation, without regard to conflict-of-law principles. Disputes will be resolved by the courts of that jurisdiction.
